Kithara — Terms of Service

1. Who we are, and who can sign up

Kithara is operated by [OPERATOR: legal name · registered address · KvK number · VAT id — pending KVK registration] ("we"). You can reach us through the Support link in the app or at [OPERATOR: contact email]. These terms are the agreement between you and that operator.

Kithara is for adults: you must be 18 or older to create a workspace. While Kithara is in an invite phase, signing up may also require an invite code.

2. The service

Kithara is a workspace for building Suno variation kits and generating guide melodies. Some features send a request to an AI model and are paid for with credits; others (like re-rendering audio from an existing plan) run on Kithara's own servers without an AI call and are free.

When you start a generation, we send the necessary parts of your request to our AI model provider through our own gateway and return the result to your workspace. The provider processes requests under its own terms; we choose providers whose terms state that API requests are not used to train their models.

Kithara is an independent tool. It is not affiliated with, sponsored by or endorsed by Suno, and what you do with a kit on any platform is subject to that platform's own terms.

3. Your account

You need a confirmed email address to use Kithara. You are responsible for what happens under your account and for keeping your password to yourself. One person per account; a workspace holds your own work. How we handle personal data — including what goes to our payment, email and AI providers — is described in the Privacy Policy.

4. Credits, prices and payments

Credits are prepaid usage units for AI generations and catalog kits inside Kithara. They are not money, do not accrue interest, and cannot be transferred between workspaces. Prices are shown in euros, including VAT, before you buy; payments are handled by Stripe. A failed generation refunds its credits automatically.

Cooling off. Buying credits online comes with a 14-day withdrawal right for EU consumers. Because credits are usable the moment you buy them, checkout asks for your consent to immediate delivery. If you change your mind within 14 days of a purchase, tell us via Support and we refund the part of that purchase you have not spent. Spent credits are spent.

Your balance keeps its value. Purchased credits do not expire while your account exists. Granted or promotional credits (such as the welcome grant) have no cash value and may lapse. If your account ends — you close it, we terminate it, or Kithara shuts down — we refund the unused credits you paid for. The credit cost of an action can go down at any time; if a cost goes up, we announce it in the app at least 14 days in advance, and if you do not want to continue you can close your account and receive that refund.

5. Your content

Kits, presets and melodies you create or buy live in your workspace and are yours to use, including commercially, subject to the terms of any third-party platform (such as Suno) you take them to. Catalog kits are licensed non-exclusively: others can buy the same kit.

So that Kithara can work, you grant us a non-exclusive licence to host, copy, back up, process and transmit your content — only as far as needed to run the service for you. We do not sell your content and we do not use it to train models. When content is deleted, backup copies may persist for a limited period before they cycle out.

6. Acceptable use

Don't abuse the service: no attempts to bypass metering or invite gating, no automated credit farming, no reselling of access, no content that is unlawful or infringes someone else's rights. We can suspend a workspace that does. If yours is suspended, you can appeal through Support (or the contact address above) and we will answer within 14 days.

7. Ending the relationship

You can close your account at any time via Support. We can end these terms with 30 days' notice, and can suspend or end an account immediately for the abuse described in section 6. After an account ends, your kits and melodies remain downloadable for 30 days, then they are removed from the live service (backups cycle out afterwards). Refunds of unused purchased credits follow section 4.

8. Availability and changes

Kithara is run with care but provided as-is to the extent the law allows; for EU consumers, your statutory conformity rights for digital services are unaffected. Features can change. Material changes — anything that reduces your rights under these terms, raises the credit cost of actions, or affects a paid balance — get at least 14 days' notice in the app or by email, a new version number, and, where the law requires it, a fresh request for your agreement; if you do not accept, you can close your account and receive the section 4 refund. Non-material changes (new features, fixes, clarifications) can happen at any time.

9. Liability

To the extent the law allows, our liability is limited to the amount you paid us in the twelve months before the event giving rise to the claim. This cap does not apply to death or personal injury, to damage caused by our intent or gross negligence, or to anything for which liability cannot lawfully be limited. Your statutory rights remain intact.

10. Governing law

Dutch law governs these terms, and disputes go to the competent court at the operator's place of business in the Netherlands. If you are a consumer, you always keep the protection of the mandatory rules — and access to the courts — of the country where you live.
